Effective date: 28 September 2026
These terms are an agreement between Klovis Technologies Ltd, a company registered in England and Wales (company number 17296963, VAT number GB 523 8649 70), registered office 434-436 Liverpool Road, London, N7 8NL, United Kingdom ("Klovis", "we", "us"), and the business that creates or uses a Klovis workspace ("Customer", "you").
By creating an account, accepting an invitation, starting a trial, subscribing or using the Service, you agree to these terms. If you accept them on behalf of a company or other organisation, you confirm you have authority to bind it.
1. Business use only
Klovis is a service for businesses. You may only use it for the purposes of your trade, business, craft or profession. By accepting these terms you confirm that you are acting for business purposes and that you are at least 18. If you are not acting for a business, you may not use Klovis.
2. The Service
"Service" means Klovis CRM and any other Klovis product we make available to you, including the web app, APIs, the hosted agent (MCP) endpoint, the website chat widget, help centres, booking pages and related documentation.
We may improve, change or remove features over time. If we remove a feature you are paying for in a way that materially reduces the Service, we will tell you in advance, and you may cancel and receive a pro-rata refund of fees you have prepaid for the unused period.
3. Accounts and users
- You are responsible for everyone you invite to your workspace ("Users") and for everything done under your workspace, including through API keys and AI agents you connect.
- Keep passwords and API keys secret. Tell us straight away at legal@kloviscrm.com if you think your account or a key has been compromised.
- The workspace owner controls the workspace, its billing and its data. If Users disagree about control of a workspace, we will follow the instructions of the workspace owner.
4. Trials, subscriptions and payment
- Trials. Each Klovis product may come with a free trial (currently 14 days) with no card required. There is one trial per product per workspace.
- Fees. Prices are shown on our pricing page or at checkout. Fees are charged in advance for each billing period (monthly or yearly) through our payment provider, Stripe. Fees exclude VAT and other taxes, which we add where required.
- Changes in quantity. Fees depend on what you use, such as the number of connected sending accounts or Users with access to a product. If you add to your subscription during a billing period, we charge a pro-rated amount for the rest of that period, usually on your next invoice. Reductions take effect from the next renewal.
- Changing plan. If you move from monthly to yearly billing, we credit the unused part of your current month.
- Renewal. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time in your billing settings, and cancellation takes effect at the end of the current paid period.
- Refunds. Except where these terms say otherwise, fees are non-refundable and we do not give credits for partial periods.
- Price changes. We may change our prices by giving you at least 30 days' notice. The new price applies from your first renewal after the notice period.
- Non-payment and freezing. If a trial ends without a subscription, or a payment fails and is not put right, that product is frozen. You can still sign in and manage billing, but you cannot use the product's features. Seven days after Klovis CRM is frozen, we may disconnect your connected sending accounts. Section 9 explains how to get your data out.
5. Your responsibilities when sending messages
Klovis sends messages from your own LinkedIn, WhatsApp, email and other accounts, on your instructions. You are the sender of those messages and are responsible for them. In particular, you must:
- have a lawful basis under data protection law for holding each contact's data and messaging them, and give them the information the law requires;
- comply with the law on electronic marketing, including the UK Privacy and Electronic Communications Regulations (PECR). For example, unsolicited marketing emails to individuals, sole traders and most partnerships need their prior consent or must meet the "soft opt-in" rules. Where they apply, you must also comply with the EU GDPR, the US CAN-SPAM Act and similar laws;
- include a way to opt out where the law requires it, and honour opt-outs promptly. Klovis's suppression list helps with this, but you are responsible for using it;
- get any consent the law requires before switching on email open or click tracking or sending personalised tracked links;
- not send spam, misleading messages, or anything unlawful, harassing, defamatory or infringing.
6. LinkedIn, WhatsApp and other platforms
The Service connects to platforms we do not own or control, including LinkedIn, WhatsApp, Google, Microsoft, Instagram and Telegram ("Third-Party Platforms"), through our connectivity provider, Unipile.
- Klovis is not affiliated with, endorsed by or sponsored by LinkedIn, Meta (WhatsApp, Instagram), Google, Microsoft, Telegram or any other Third-Party Platform.
- Your use of each Third-Party Platform is governed by that platform's own terms, and it is your responsibility to comply with them. Some platforms, including LinkedIn, restrict automated activity. Using Klovis to automate activity on a platform may break that platform's terms, and may lead to your account being warned, limited, restricted or permanently banned.
- Klovis includes sending limits and safeguards designed to reduce this risk, but we cannot guarantee that any platform will not restrict or ban your account. You choose which accounts to connect and how to use them, and you do so at your own risk.
- We are not responsible for Third-Party Platforms, for changes they make that affect the Service, or for any loss you suffer because a platform limits, suspends or closes your account, except where that is caused by our failure to apply the sending limits the Service shows you are in place.
7. AI agents and API keys
You can connect your own AI agent or other software to your workspace with an API key and choose what it may do, including whether it may send messages or archive and delete records without approval. Anything done with your keys is treated as done by you. You are responsible for the agent you choose, its instructions, its actions and the provider behind it. Klovis does not control or monitor your agent's AI provider.
8. Acceptable use
You must not, and must not let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, or to send unsolicited bulk messages in breach of law;
- upload malware, or try to break, overload, probe or get around the security of the Service;
- access, or try to access, another customer's data;
- resell, sublicense or provide the Service to third parties except as we agree in writing;
- copy, reverse engineer or build a competing product from the Service, except as the law allows;
- use the Service to process special category data (such as health data) or children's data unless we have agreed to it in writing.
9. Your data
- Ownership. You own the data you and your Users put into the Service, including your contacts and conversations ("Customer Data"). You give us permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service.
- Data protection. Our Data Processing Agreement forms part of these terms and applies to personal data in Customer Data. You are the controller of that personal data and we are your processor.
- Your responsibility. You confirm that you have the rights and lawful basis to give us Customer Data and to have it processed as you instruct.
- Getting your data out. While your subscription is active you can export your records from the app. You can also ask us for a full export of your workspace at legal@kloviscrm.com, at any time while your subscription is active and for 30 days after it ends, and we will provide it within 14 days of your request. A frozen product counts as ended once it has been frozen for 30 days.
- Deletion. After that 30-day period, we will delete your Customer Data within a further 30 days, unless the law requires us to keep it. The workspace owner can ask us to delete it sooner.
- Service data. We may use anonymised, aggregated information about how the Service is used, which does not identify you, your Users or your contacts, to operate and improve it.
10. Our intellectual property
We own the Service and everything in it other than Customer Data. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, for your internal business purposes, under these terms. If you send us feedback or ideas, we may use them freely.
11. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for the purposes of this agreement. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law.
12. Availability and support
We aim to keep the Service available and to fix problems quickly, but we do not guarantee that it will be uninterrupted or error-free. We may carry out planned maintenance and will try to do so at quiet times. Support is available by email and through our help centre.
13. Suspension and termination
- You can stop using the Service and cancel at any time (see section 4).
- We may suspend or end your access immediately if you seriously or repeatedly breach these terms (including section 5, 6 or 8), if your use puts the Service, us or other customers at risk, or if the law requires it. Where it is reasonable, we will warn you first and give you a chance to fix the problem.
- Either of us may end this agreement by written notice if the other has materially breached it and has not put the breach right within 30 days of being asked to.
- When the agreement ends, your right to use the Service stops and section 9 applies to your data. Sections that by their nature should continue (including 5, 6, 9, 11, 14, 15, 16 and 18) continue to apply.
14. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided "as is", and we give no other warranties or conditions, whether express or implied, including as to fitness for a particular purpose, results from outreach, or the delivery or acceptance of any message.
15. Liability
15.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
15.2 Subject to 15.1, neither of us is liable for any:
- loss of profit, revenue, business, contracts or goodwill;
- losses caused by a Third-Party Platform limiting, suspending or closing an account, except as set out in section 6;
- loss or corruption of data, except to the extent caused by our breach of these terms or the Data Processing Agreement (in which case our liability is limited as set out in 15.3); or
- indirect or consequential loss.
15.3 Subject to 15.1, each party's total liability arising out of or in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to the total fees paid or payable by you to us under these terms in the 12 months before the event giving rise to the claim.
15.4 The limits in 15.2 and 15.3 do not apply to your obligation to pay fees.
16. Your indemnity
You will compensate us for any claims by third parties, regulatory fines and penalties, losses and reasonable costs we suffer because of messages you send through the Service, Customer Data you upload, or your breach of section 5, 6 or 8, except to the extent they were caused by our own breach of these terms or the Data Processing Agreement. We will tell you promptly about any claim, let you control its defence (at your cost), not settle it without your agreement (which you will not unreasonably withhold), and take reasonable steps to limit our losses.
17. Changes to these terms
We may update these terms. If a change materially affects you, we will tell the workspace owner by email or in the app at least 30 days before it takes effect, unless the law requires the change sooner. If you do not agree, you may cancel before the change takes effect, and we will refund any fees you have prepaid for the period after cancellation. If you keep using the Service after the change takes effect, the new terms apply.
18. General
- Entire agreement. These terms, the Data Processing Agreement and any order you place are the whole agreement between us about the Service.
- Assignment. You may not transfer this agreement without our written consent. We may transfer it to a company in our group or to a buyer of our business.
- Events outside our control. Neither of us is responsible for delays or failures caused by events beyond our reasonable control, including failures of Third-Party Platforms, hosting providers or the internet.
- Notices. We send notices to the workspace owner's email address. You send notices to legal@kloviscrm.com.
- No waiver. Failing to enforce a right is not a waiver of it.
- Severability. If any part of these terms is found unenforceable, the rest still applies.
- Third-party rights. No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- Governing law and courts. These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
